External Government and Public Sector Addendum Template Conditional addendum for public-sector, higher-scrutiny, or regulated procurements
Use and Purpose
This Addendum is a conditional template for use only if Borealis elects to contract with a governmental entity, public university, school district, or other public-sector customer. It modifies the underlying agreement only to the extent expressly stated in an executed order form or amendment. No public-sector customer may rely on Borealis’s standard self-service flow alone unless Borealis expressly authorizes that route in writing.
Priority of Terms
If executed, this Addendum controls only for the customer identified in the applicable order form and only for conflicts with the underlying agreement.
Records, Public Disclosure, and Confidentiality
The customer must promptly notify Borealis of any public-records, FOIA, or similar request that could reach Borealis Confidential Information, security documentation, Trust Center materials, or third-party confidential materials. The customer will, to the extent permitted by law, cooperate with Borealis’s efforts to protect confidential, proprietary, security-sensitive, and trade-secret information from disclosure. Nothing in this Addendum requires Borealis to disclose source code, penetration-test details, vulnerability reports, exploit details, proprietary pricing methodology, or third-party confidential information except to the extent non-waivable law requires.
Security and Compliance Boundaries
Borealis does not accept any obligation to meet governmental, agency-specific, procurement-specific, or regulated-industry requirements unless those obligations are expressly stated in the order form or a signed security exhibit. Borealis is not a law firm, CPA firm, certification body, or assessor and does not guarantee legal compliance, procurement eligibility, audit passage, or grant funding outcomes.
Liability and Economic Risk
Nothing in this Addendum increases Borealis’s liability cap or expands excluded damages unless Borealis expressly states otherwise in the signed order form. Fines, penalties, remediation costs, procurement losses, and similar downstream losses remain excluded to the fullest extent permitted by law. Customer-specific statutory clauses should be added only after legal review.
Negotiation Control
This Addendum is not customer-ready without counsel review. Any requested data-residency, audit-right, open-records, insurance, cyber, or statutory clause must be routed through the contract-exception process.
